Medico Insurance Company Notice of Annual Meeting

Omaha, Nebraska (April 4, 2007) - A Notice of Annual Meeting was mailed today to the policyholders of Medico Insurance Company. The following FAQs were developed to answer any questions on the mailing.

 
 
 
 
 

Why Am I Receiving This Mailing?
As a Policyholder, you have the right to attend the Company's annual meeting. In addition, your policy gives you the right to vote for the slate of directors who have been nominated. You have the option of voting in person at the annual meeting or by executing the Proxy form and returning it to the Company in the enclosed self-addressed stamped envelope.

Who Is Medico Mutual Insurance Holding Company?
As you may recall, Mutual Protective Insurance Company converted to a mutual holding company effective January 1, 2006. As a Mutual Protective Policyholder at the time of the conversion, you became a Member of Medico Mutual Insurance Holding Company.

My Policy Is With Medico Insurance Company, Why Am I Getting A Proxy From Medico Mutual Insurance Holding Company?
Your policy is with Medico Insurance Company. Your membership is with Medico Mutual Insurance Holding Company. This is the result of the Mutual Protective Insurance Company conversion to a mutual holding company on January 1, 2006.

Which Company (MIC Or MMIHC) Do I Have Insurance With?
Your policy is with Medico Insurance Company.

Does This Mailing Have Any Effect On My Policy/Benefits?
No. Your policy benefits are not affected in any manner by this mailing or the proxy.

What Is A Proxy?
As a Policyholder, you have the right to attend the Company's annual meeting. In addition, your policy gives you the right to vote for the slate of directors who have been nominated. You have the option of voting in person at the annual meeting or by executing the Proxy form and returning it to the Company in the enclosed self-addressed stamped envelope.

What Does The Proxy Do?
If you execute the Proxy, either the Chairman of the Board or the Chief Operating Officer of the Company will cast your vote for the slate of Board of Directors nominees set forth in the Notice of Annual Meeting. There is no other business on the agenda for this annual meeting.

Do I Have To Attend The Annual Meeting/Return The Proxy?
No. Attending the annual meeting/returning the Proxy is optional.

Why Should I Sign The Proxy/How Does It Benefit Me If I Sign The Proxy?
You are not required to attend the Annual Meeting or to execute the Proxy form. However, as a Member of Medico Mutual Insurance Holding Company, you have the right to do so if you wish.

What Rights Am I Giving Up By Signing The Proxy?
None. In fact, by attending the Annual Meeting or executing the Proxy, you are exercising rights that you have as a Member of Medico Mutual Insurance Holding Company.

When Does The Proxy Have To Be Returned?
In order to be counted/cast, the Company must receive the Proxy back from no later than five days before the Annual Meeting.

If I Return The Proxy In Time For The Annual Meeting This Year, Can I Still Attend The Annual Meeting And Vote In Person At Future Annual Meetings?
Yes. The Proxy will remain in effect for three years, but you have the right to revoke it.

Can I Nominate Additional Persons To The Board Of Directors?
No. The current slate of nominees set forth on the Notice of Annual Meeting are the only individuals who may be voted on at this year's annual meeting.

Can I Vote For Some Of The Nominees, But Not All Of Them?
No. You are voting on the group of nominees.

Can I Vote On More Than The Board Of Directors?
No. As a member of Medico Mutual Insurance Holding Company, your voting rights are limited.

Do I Get To Vote For Each Policy I Own?
As a Member of Medico Mutual Insurance Holding Company, you have one vote regardless of the number of policies you may own.

Who May Attend The Annual Meeting?
The Annual Meeting is open to all Policyholders who receive the Notice of Annual Meeting. The meeting is not open to the general public.

I No Longer Drive/Am No Longer Ambulatory/Am Disabled/Rely On Others To Get Around. Can My Child/Spouse/Caregiver Who Is Not A Policyholder Accompany Me To The Annual Meeting?
Although only Policyholders may attend the Annual Meeting itself, we will be happy to accommodate your caregiver in order to allow you to attend the Annual Meeting.

What Is Voted On At The Annual Meeting/What "Other Business" Might Come Before The Annual Meeting? (A Reference To The Last Sentence Of The First Paragraph Of the Proxy)
This Proxy will be voted in favor of (i) the election of seven board members to three-year terms on the Board and (ii) on such other business as may properly come before this meeting or subsequent annual meetings. Policyholders have the right to vote for the nominees to the Board of Directors. There is no "other business" on the agenda for this annual meeting.
